1. Agreement & Acceptance

These Terms & Conditions ("Terms") govern your access to and use of the website, services, and products provided by Aravadi Consultancy Pvt. Ltd. ("Company", "we", "us", "our"). By accessing or using our services you agree to be bound by these Terms.

2. Scope of Services

We provide consulting, digital solutions, training, research, and other professional services. Specific service scope, deliverables, timelines, and fees are defined in written proposals, Statements of Work (SOW), contracts, or invoices.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our services. By using our services you confirm that all information you provide is accurate and complete.

4. User Responsibilities

  • Provide accurate information and timely inputs necessary for service delivery.
  • Maintain security of any login credentials issued by us.
  • Comply with applicable laws and do not misuse our services.

5. Fees, Payments & Invoicing

Fees for services are set out in proposals, invoices or contracts. Unless stated otherwise:

  • Invoices are payable within the terms specified on the invoice.
  • We may require advance payments or milestones for project work.
  • Late payments may incur interest or work stoppage until cleared.
  • All prices are exclusive of taxes unless explicitly stated.

6. Deliverables & Timelines

Timelines are estimates and depend on client cooperation, third-party dependencies, and external factors. We will communicate reasonable timelines but are not liable for delays caused by client inaction, force majeure, or third-party failures.

7. Intellectual Property

Unless otherwise agreed in writing, Aravadi Consultancy retains ownership of materials, methodologies, templates, code, and content created prior to or during engagement. Upon full payment, clients are granted a license to use deliverables for their internal business purposes as specified in the contract.

8. Confidentiality

Both parties shall treat confidential information as private and not disclose to third parties except as required by law. Confidential information excludes publicly available information or data independently developed by the receiving party.

9. Data Protection & Privacy

Our Privacy Policy explains how we collect and process personal data. By using our services you consent to processing in accordance with that policy.

10. Third-Party Tools & Services

We may use trusted third-party services (hosting, analytics, payment gateways, etc.). We are not responsible for the policies or performance of third parties. Any licenses or costs related to third-party services are the client's responsibility unless stated otherwise.

11. Warranties & Disclaimers

We strive for accuracy and high-quality delivery. However, except where prohibited by law, we provide services "as is" and make no warranties (express or implied) regarding merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Aravadi Consultancy's liability for damages arising from or related to these Terms will not exceed the total fees paid by the client for the specific services that caused the liability. We are not liable for indirect, incidental, consequential, or special damages.

13. Termination

We may suspend or terminate services if a client breaches these Terms, fails to pay, or engages in fraudulent/illegal activity. Clients may terminate services in accordance with the termination provisions set out in their contract.

14. Refunds & Cancelations

Refunds, if any, are subject to our written policy and contract terms. Unless expressly stated, fees are non-refundable. Cancellations may incur fees for work already performed and costs incurred.

15. Client Content & IP Indemnity

Clients must ensure that materials they provide do not infringe third-party rights. Clients indemnify Aravadi Consultancy against claims arising from client-provided content.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Delhi, India, unless otherwise agreed in writing. Parties will attempt to resolve disputes amicably before resorting to litigation.

17. Changes to Terms

We may update these Terms from time to time. The revised Terms will be posted on this page with a new "Last updated" date. Continued use of services after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with any signed contracts, proposals, or SOWs, constitute the entire agreement between the parties concerning the subject matter and supersede prior agreements.
